Leading supplier and installer of tiles in the United Arab Emirates and the Middle East
The following terms and conditions (“Terms and Conditions“) shall apply for the goods and services provided by tiles2.com or Tiles Squared FZ LLC:
1.1 Please read these terms and conditions carefully before using tiles2.com or Tiles Squared FZ LLC or any of our services (“Our”, “Us”, “We”, “(Tiles²”).
1.2 We accept your order on the basis that you have read, fully understood and agreed to these Terms and Conditions. If you require further clarification of any details therein, please speak to one of our staff on info@tiles2.com.
1.3 By purchasing Our products or services on tiles2.com or Tiles Squared FZ LLC or through any of our representatives, you signify your agreement to be bound by these terms and conditions.
1.4 Any quotations, orders, agreements, services and all subsequent contracts of whatever nature by the parties are made subject only to these Terms and Conditions, except where otherwise stated in writing by Us.
1.5 These Terms and Conditions supersede any prior terms and conditions, representations or negotiations between the parties whether given in writing or orally.
1.6 The terms and conditions of another party will not apply, unless expressly accepted in writing by Us.
1.7 If, for whatever reason, one or more of the clauses of these Terms and Conditions are invalid, or unenforceable, the other clauses herein shall remain valid, legal, enforceable and be binding upon the parties.
1.8 The parties agree that nothing in these Terms and Conditions shall be construed as conferring any benefit on a person or entity who is not a party to this agreement unless otherwise stated in writing.
2.1 Our free quotation will be prepared based upon communications between you through Our website tiles2.com, email info@tiles2.com or one of Our members of staff.
2.2 Quotations are valid for 30 calendar days from the date of issue (calendar days includes any day from Sunday to Saturday and includes Friday).
2.3 Any price quotation provided by Us shall be deemed to be for the purpose of information only and shall not constitute as an offer to sell.
3.1 Images are for illustrative purposes only and not necessarily in model, colour or finish shown. We therefore highly recommend you request a sample of the tile(s) prior to placing an order.
4.1 In the event that any change or variations to the initial quotation are made then the following procedure applies:
4.1.1 Please notify Us by email if you require any changes within 3 working days’ of our quote being sent/ emailed to you.
4.1.2 We will use all reasonable endeavours to accommodate your requirement. If we cannot, the original quotation will be adhered to.
4.1.3 Any changes or variations instructed directly to any contractor or supplier will fall outside of the contract.
4.1.4 We will notify you of the cost for any changes or variations.
4.1.5 No additional work which increases the cost of the quotation will be undertaken until payment has been made pursuant to these Terms and Conditions.
5.1 We reserve the right to charge for design fees, project co-ordination fees, delivery charges, installation fees and storage fees, subject to the package you choose.
5.2 Storage fees may be charged if you delay your project and it is necessary for Tiles Squared FZ LLC or tiles2.com to store the goods beyond the original agreed date.
5.3 You shall pay any import tax, customs, import duties, charges and related fees including VAT.
5.4 Refusal to pay the local import duties and taxes or any other fees set out in clause 5.4 above, will result in the goods either being destroyed by customs; or goods being returned to sender at the cost of the consignee (costs will be deducted from any refund owed).
6.1 It is your responsibility to check with Us that all details of your order are in accordance with your requirements. We do not accept returns of any products due to customer measurement error.
6.2 Your acceptance will be confirmed by payment of the initial 50% of Our invoice.
7.1 A 50% initial payment will be required upon you accepting Our quote and the remaining 50% shall be payable prior to the tiles being delivered.
7.2 Payment is to be made within 7 working days (which excludes Friday) from the date of the invoice regardless of whether you instruct to delay delivery of goods.
7.3 Once the payment has been made and the goods ordered, no cancellation will be accepted and the balance will remain due unless agreed by Us in writing. The balance 50% shall be payable by you prior to the tiles and Our services being delivered.
7.4 If payment is not received within settlement does not take place within this time, We reserve the right to charge interest at a rate of 2% per day from the date of expiration of the 7 working day. Any amounts paid are non-refundable under any circumstances. On large orders/ projects we will issue invoices for interim/ stage payments.
7.5 Extension of credit cannot be allowed.
7.6 We will not be responsible for any delays to your order as a result of payment not being made in accordance with the terms and conditions as set out in this agreement.
7.7 If you purchase one of Our advance or intermediate packages, payment of 50% for the consultancy fee is required within 7 working days from the date of Our invoice upon placing the order for your tiles and the remaining 50% shall be payable prior to the tiles being delivered unless otherwise agreed in writing between the parties.
7.8 You have a strict obligation to make payments as they fall due and this obligation shall not be affected or discharged, even by force majeure or frustration or otherwise.
7.9 Under no circumstances whatsoever shall any claim by you relieve you of your obligation to make full payment on the due date.
7.10 Payments made by you shall be made in full, without set-off, counterclaim, deduction and/ or discount, free of bank charges, to the bank account and by the due date indicated by Us on the respective invoice(s).
7.11 Payment shall be deemed to have been made on the date on which We have received full payment and such is available to you. If payment falls due on a non-business day, then payment shall be made on or before the business day nearest to the due date. If the preceding and the succeeding business days are equally near to the due date, then payment shall be made on or before the preceding business day.
7.12 Notwithstanding any agreement in writing to the contrary, payment will become due immediately in case of bankruptcy, liquidation or suspension of payment or comparable situation of you, or arrest of assets and/or claims of you, or in case of any other situation which in the sole discretion of Us is deemed to adversely affect your financial position.
8.1 Ownership of any goods shall not pass to you until these goods have been paid for in full.
9.1 We will use our best endeavours to deliver your goods on time.
9.2 Under no circumstances will refunds be given if delays beyond our control are incurred.
9.3 You must ensure that access to your delivery address is clear and safe for delivery.
10.1 Any defects, damages, or shortfalls must be reported to Us within 2 business days from the date of delivery following which We will not be held responsible for any damaged or unsatisfactory goods.
10.2 Upon delivery, you shall ensure that a duly authorised representative receives the tiles and signs the delivery note.
10.3 If a delivery time and date has been arranged but you wish to change either the date or the time, you shall provide Us with 24 working hours’ notice in writing.
10.4 We may, in exercising Our discretion, charge a cancellation fee if we are not given this notice or for a failed delivery on an agreed delivery date if you or your representative are unavailable to accept goods.
11.1 Once goods arrive at our storage location they will be made ready for collection or delivered on a mutually convenient date, within a 2 week period and once payment has been received.
11.2 If you are unable to take delivery for any reason within this two week period, then We reserve the right to charge storage fees.
11.3 Tiles Squared FZ LLC does not accept liability for insurance after the initial 2 week period.
12.1 All images shown on our website are for guidance only and the exact shades of our products, particularly natural products, cannot be guaranteed.
12.2 Certain natural products may incur variation in colour. Samples should be regarded as approximate representation only. If you have any questions or requirements relating to any of the products, please raise this with Us prior to placing your order.
12.3 You shall check all the tiles carefully prior to fixing the tiles.
12.4 Once the tiles have been fixed, they cannot be returned or refunded. Therefore please check your tiles carefully before fixing.
13.1 Unless otherwise stated in writing, all prices quoted are inclusive of VAT (if applicable).
14.1 Tiles Squared FZ LLC reserves the right to revise their prices at any time without notice.
14.2 If a product is listed at the incorrect price due to a printing or typographical error, we have the right to refuse orders placed prior to contract.
15.1 We are happy to advise on approximate quantities for products, however it is deemed the full responsibility of the contractor with whom you are engaging to confirm exact requirements to us in order to fulfil works.
15.2 We cannot be held responsible for under/ over ordering and if goods are over ordered they cannot be returned.
16.1 If you cancel the order after it has been dispatched, there may be a charge to you to cover our expense in returning the tiles.
17.1 Unless agreed otherwise, any costs with any of the above traders where they are contracting with you directly are payable in accordance with those agreed between you and the contractor.
17.2 They will provide you with an independent quotation for the supply and fitting and subsequently contract directly with you to execute it. This is standard practice and they are also solely responsible for their work. Any issues arising from this work should be raised directly with the contractor.
18.1 Please contact us either by email info@tiles2.com or by phone, or one of our senior project manager if you have any issues or complaints immediately if they arise.
19.1 The Law of Dubai and federal laws of the United Arab Emirates are the applicable law.
19.2 Any claim by you of any nature arising under these Terms and Conditions shall be notified to Us in writing within eight (8) calendar days after delivery of the products/ services and you hereby agree to waive any claims or rights of action, even if otherwise permitted by common law, statute or otherwise, once the eight (8) day period has passed.
20.1 Tiles Squared FZ LLC excludes all liability and responsibility for any uninsured loss or damage that may result to you or a third party in connection with the supply or installation of goods which unless otherwise agreed by Us in writing.
21.1 By allowing Tiles Squared FZ LLC to photograph its project at your property/ project location you agree to allow Tiles Squared FZ LLC to use the photographic image(s) for promotional purposes. Client testimonials’ may be used by Tiles Squared FZ LLC for promotional purposes.
22.1 We will not be held responsible for any delay or failure to comply with our obligations under these conditions if the delay or failure arises from any cause which is beyond our reasonable control This condition does not affect your statutory rights.
23.1 You shall not assign any of your rights and obligations in whole or in part without Our written consent, otherwise any assignment shall be void and unenforceable.
24.1 We shall not be liable for any damages of whatever nature, including physical injury, nor for any delay of delivery of products or services, no matter whether such damages or delays have been caused by fault or negligence or omission by you or your contractor or any other party or contract to which We are not a party.
24.2 In no event shall We be liable to you for any indirect, consequential loss or damage and/ or liquidated damages (including but not limited to loss of time, loss of tiles, missed or cancelled delivery dates, loss of income, loss of business, depletion of goodwill or otherwise), costs, expenses or other claims for consequential compensation whatsoever and howsoever caused.
24.3 The total liability Tiles Squared FZ LLC (if any), in contract, tort (including negligence or breach of statutory duty), misrepresentation or otherwise, arising in connection with performance or contemplated performance of these Terms and Conditions shall be limited to and not exceed the invoice value of Tiles Squared FZ LLC supplied to you.
24.4 You will indemnify Us without limit, against any claims, losses, damages, liabilities, fines, penalties, costs (including legal costs), interests, fees, and expenses incurred or sustained arising out of or in connection with: (a) the delivery of tiles or services, and/ or (b) any breach by you of these Terms and Conditions; and/ or (c) any fault, negligent act or omission of contractors, representatives, employees, and other people, whether or not party to your project.
24.5 You also undertake to defend, indemnify and hold Us harmless from all third party claims of whatsoever nature against Us, whether directly or indirectly related to the sale, delivery of products or services.
25.1 Notices to be given hereunder shall be addressed to the addresses specified from time to time by the party to whom the notice is addressed.
26.1 If you breach these conditions and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these conditions.
27.1 These conditions are governed and construed in accordance with the laws of Dubai, and the Federal Laws of the United Arab Emirates. You agree, as we do, to submit to the exclusive jurisdiction of the Courts of Dubai.
28.1 Tiles Squared FZ LLC complies with the data protection and requires that all suppliers, contractors and sub-contractors that it works with do so as well.
